The selling shareholders have granted the underwriters a 30-day option to purchase up to an additional 489,956 shares of Class A common stock to cover overallotments, if any. The offering is being conducted as a public offering pursuant to an effective registration statement under the Securities Act of 1933. The offering is expected to close on July 21, 2009, subject to customary closing conditions. Seneca Foods will not receive any of the proceeds from the offering.
